More than 20,000 restaurants, hotels and caterers order ingredients through Freshket, by Freshket's own count. Now a majority of the platform belongs to the Betagro group, which makes animal feed, livestock, meat, eggs and processed food itself. So what changes for the businesses that order there?

A filing by Betagro PCL (BTG) to the Stock Exchange of Thailand on 19 October 2026 shows that Hobby Farmers, an indirect Betagro subsidiary, holds 59.18% of Polar Bear Mission Co., the company that runs Freshket. Betagro announced the deal through Betagro Ventures the next day and did not disclose the price.

SV News sums up who owns how much, what Betagro wants from the deal, and what restaurants and hotels that order through Freshket should ask.

A Betagro unit holds 59.18% and 3 of 5 board seats

Betagro bought into Freshket through a subsidiary it almost wholly owns.

Betagro's board approved the plan on 15 July 2026, the filing says. Hobby Farmers, in which Betagro holds 99.99%, bought preferred and ordinary shares in Polar Bear Mission from 16 existing shareholders, none of them connected to Betagro, and paid from the company's working capital.

As of 19 October, Polar Bear Mission's shareholders are:

  • Hobby Farmers: 59.18%, an indirect subsidiary of Betagro PCL
  • Betagro Holding Co.: 8.87%, a Taepaisitphongse family company that is separate from Betagro PCL, THE STANDARD reported in 2022
  • Other shareholders: 31.95%

Put simply, the Betagro group now has the majority say in Freshket. The 8.87% belongs to the Taepaisitphongse family's company, which joined Freshket's Series B round in 2022.

Betagro names three of Polar Bear Mission's five directors: Chayadhorn Taepaisitphongse, Somsak Boonlarp and Dulaya Phuangthong, Betagro's chief financial officer. Ponglada Paniangwet, who founded Freshket, stays on the board.

As for Betagro's aim, the filing says the deal is meant to grow the business through online channels. The company's statement calls it the group's entry into food tech, meaning food businesses built on technology, although Betagro Ventures invested in the Dutch cultivated-meat company Meatable in 2024, Food Business News reported.

2 questions restaurants and hotels should ask Freshket

Freshket plans to grow under its new majority owner.

Freshket, founded in 2017, says it offers more than 10,000 products to over 20,000 business customers, with delivery accuracy above 98.5%, in Bangkok, Pattaya, Hua Hin and Khon Kaen. The market is large: Thai restaurants and hotels buy nearly 200 billion baht of ingredients a year, THE STANDARD reported in 2022.

Next, it plans to expand to the Greater Bangkok area and major regional cities, add imports such as seafood, premium Japanese ingredients, cheese and butter, and upgrade its cold chain, the delivery system that keeps food cold the whole way.

Both companies say customers will get more products, faster delivery and better cost control, but they give no figures. Ponglada, Freshket's chief executive, said in a press release carried by Brand Buffet that Betagro's infrastructure and funding will help it supply quality ingredients to restaurants at good value.

But neither company's announcement answers two questions that restaurant and hotel buyers should put to Freshket:

  • Prices and terms: whether existing customers will see their prices or terms change
  • Meat and eggs from other producers: whether Freshket will keep selling products from Betagro's competitors

Freshket raised 3 rounds before ending in a sale

Before Betagro, Freshket drew both investment funds and large companies.

  • 2017: a seed round, its first funding, from 500 TukTuks, size undisclosed, according to DealStreetAsia
  • 2020: a US$3 million Series A led by Openspace Ventures, according to DealStreetAsia
  • 2022: a US$23.5 million (about 800 million baht) Series B led by OR, which put in US$14.5 million (500 million baht) through its subsidiary Modulus Venture, alongside Betagro Holding, Openspace, Volta Circle and ORZON Ventures, THE STANDARD reported

When it invested in 2022, OR said Freshket could use PTT Station locations as distribution points. The new announcements do not mention OR, and the filing does not name the 16 sellers, so it is not public which investors sold, or at what valuation.

Investors get an exit through a sale while Thai IPOs stall

An exit, the point at which investors sell their shares, is hard to find in Thai tech.

Thai companies raised nearly US$5 billion through IPOs in 2020 but US$408 million in 2025, a fall of more than 90%, Asia Tech Review reported in February 2026, and LINE MAN Wongnai has looked abroad to list.

The same article cited a LinkedIn post by Kris Supavatanakul, strategy lead at Finnomena and a former SCB 10X investor, who wrote that venture capital (VC) funds in Thailand have largely given up on Thai tech exits, and that he understands why.

Sales to Thai companies do not always close either. Siam Commercial Bank's deal to buy a majority of the crypto exchange Bitkub for around US$500 million was called off in August 2022, Asia Tech Review noted. Freshket found a buyer that says plainly it wants to grow online sales.

Betagro's next dates are 10 to 12 November

Betagro's management has its first scheduled meetings with analysts since the deal in November, according to its investor calendar.

  • 10 November 2026: third-quarter 2026 results
  • 11 November 2026: analyst meeting
  • 12 November 2026: Opportunity Day presentation at the stock exchange

Restaurants that order through Freshket need not wait until then. They can ask Freshket about prices, terms and goods from other producers now.
